These Terms & Conditions form an agreement between CPO Experts Ltd., operating as PathClips, and each person or organization that accesses our website, requests a quote or trial, submits files, approves work, or purchases our services.
Agreement and Eligibility
By using PathClips, you agree to these Terms, our Privacy Policy, Refund Policy, and any written quote, order summary, or service-specific requirements accepted by you.
You must be at least 18 years old and legally able to enter a contract. If you act for a company or another person, you confirm that you have authority to bind that party.
Services
PathClips provides custom digital image editing services, including clipping path, background removal, image masking, ghost mannequin, shadow creation, multi-clipping path, photo retouching, color correction, and vector conversion.
The exact scope, quantity, complexity, output format, delivery time, price, and revision requirements are established by the applicable quote, order details, project brief, or written communication. We may decline a project that is outside our capabilities, capacity, or acceptable-use standards.
Quotes and Order Formation
Website prices and examples are estimates unless expressly stated otherwise. A quote is based on the files and instructions available when reviewed and may change if the quantity, complexity, deadline, source files, or requested scope changes.
Submitting files or a request does not require PathClips to accept the project. An order becomes binding when we confirm the scope and price and you approve the quote or otherwise authorize production. Online payment remains subject to payment authorization and fraud review.
Free Trial
Eligible new business clients may request editing of up to two sample images. A trial is offered for evaluation only, requires accurate business contact information, has no cash value, and may be limited or refused to prevent misuse. Trial output remains subject to these Terms, including content and ownership requirements.
Client Instructions and Responsibilities
- Provide accurate contact, billing, deadline, and project information.
- Supply usable source files and complete instructions before production.
- Identify required dimensions, formats, backgrounds, marketplaces, and reference standards.
- Review proofs and completed files promptly and provide clear, consolidated feedback.
- Maintain backups of source files and downloaded deliverables.
- Ensure submitted content and requested use comply with law and third-party rights.
Acceptable Use and Prohibited Content
You may not use PathClips for unlawful, deceptive, abusive, or infringing activity. We may reject, remove, or stop work involving:
- Content you do not own or have permission to submit.
- Counterfeit products or unauthorized protected logos, designs, or trademarks.
- Illegal, exploitative, sexually explicit, nude, or graphic content.
- Content that promotes fraud, hate, harassment, violence, or other unlawful conduct.
- Instructions intended to mislead consumers or falsify a product, identity, or document.
- Malware, harmful code, or files that threaten our systems or personnel.
Payment availability is also subject to the payment provider's acceptable-use and prohibited-product rules, including the 2Checkout Acceptance Policy.
Pricing, Currency, and Taxes
- Prices are quoted in USD unless another currency is stated in writing or at checkout.
- Final pricing depends on image complexity, quantity, services, deadline, and output requirements.
- Applicable taxes, duties, currency-conversion charges, or payment-provider fees may be displayed or added at checkout as permitted by law.
- The client is responsible for bank or conversion charges imposed by its own financial institution.
- Obvious pricing errors may be corrected before production or refunded if already charged.
Payment and Billing
Standard projects may follow a review-first, pay-after-approval workflow. Advance, milestone, per-project, weekly, or monthly billing may apply where stated in the quote or client agreement. Monthly terms require prior approval and may be suspended for overdue balances.
Online payments may be processed by 2Checkout, a Verifone company, or another provider disclosed at checkout. Depending on the arrangement, the provider may act as payment processor, reseller, or merchant of record. You also agree to the shopper terms and notices shown during checkout. Your statement may show a descriptor such as 2CO.com*PathClips or the descriptor displayed on the payment page.

Digital Delivery
PathClips supplies customized digital services; no physical goods are shipped. Completed files are delivered electronically by a secure link, account workspace, cloud transfer, email, or another agreed method.
Delivery estimates begin after the scope, files, instructions, and any required authorization are complete. Standard projects are often completed within 12–24 hours, while complex, urgent, or bulk work receives a confirmed project schedule. See the Delivery Policy.
Review, Acceptance, and Revisions
Review the delivered work and notify us promptly of any material difference from the confirmed brief. We will review instruction-based correction requests and provide eligible revisions without additional editing charges.
New creative direction, replacement source images, additional services, or changed dimensions, formats, and marketplace requirements are outside the original scope and may require a revised quote. Approval, download, use, or payment may be considered evidence of acceptance, without limiting rights that cannot be waived by law.
Cancellation and Refunds
Cancellation and refund eligibility depends on payment status, production progress, delivery, approval, and the reason for the request. Contact us as soon as possible. Our Refund Policy explains eligible circumstances, exclusions, request steps, and processing. Where 2Checkout acts as merchant of record, its shopper terms and refund process may also apply.
Ownership and Limited License
You retain rights in source materials you lawfully own. You grant PathClips a limited, non-exclusive license to host, copy, transmit, modify, and process the materials only to provide the requested service, quality control, delivery, and support.
Upon payment of all amounts due, rights in the custom edited deliverables transfer to the client to the extent PathClips owns those rights. Pre-existing tools, methods, know-how, software, and general production techniques remain the property of PathClips or their respective owners.
We will not publicly display client files or deliverables as portfolio samples without prior permission.
Confidentiality and Data Protection
We treat non-public client files, instructions, and business information as confidential and use them only for service delivery and administration. Limited access may be provided to personnel and service providers who need it and are subject to appropriate obligations. Personal information is handled under our Privacy Policy.
Third-Party Services
Website, authentication, file-transfer, cloud, communication, and payment functions may be supplied by third parties. Their availability and terms may affect a feature or transaction. PathClips is responsible for selecting providers reasonably, but is not responsible for independent services outside its control except where applicable law provides otherwise.
Service Warranty
We will perform the services with reasonable care and skill and use quality-control procedures appropriate to the project. Because editing requirements can be subjective, results are evaluated against the confirmed brief, reference files, and agreed specifications.
Except for commitments expressly stated in these Terms or required by law, the website and services are provided without additional warranties, including guarantees of uninterrupted availability or a specific commercial result.
Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, including lost profit or business opportunity, arising from a project. PathClips' total liability for a claim is limited to the amount paid for the affected order.
These limits do not apply to fraud, willful misconduct, gross negligence, breach of confidentiality, intellectual-property infringement, or liability that cannot lawfully be limited. Clients remain responsible for backing up source and delivered files.
Suspension and Termination
We may suspend or end access to services for overdue payment, fraud risk, abusive conduct, security threats, prohibited content, infringement, or material breach of these Terms. Where practical, we will provide notice and an opportunity to resolve the issue. Obligations concerning payment, ownership, confidentiality, disputes, and liability survive termination.
Events Outside Reasonable Control
Neither party is responsible for delay caused by events reasonably outside its control, such as natural disaster, widespread network or cloud failure, government action, labor disruption, conflict, or payment-network outage. The affected party will use reasonable efforts to reduce the impact and communicate material delays.
Governing Law and Disputes
Before starting formal proceedings, contact us at help@pathclips.com so both parties can try to resolve the concern in good faith.
These Terms are governed by the laws of Bangladesh, and disputes are subject to courts of competent jurisdiction in Bangladesh, except where mandatory consumer law gives you rights or a forum that cannot be excluded. A payment provider's shopper terms may separately govern the payment transaction.
Changes to These Terms
We may update these Terms for future use of the website or services. The last-updated date identifies the current version. Material changes will be communicated where required. Changes do not retroactively alter an accepted order unless both parties agree or law requires it.
